Inside the industry

How developments are funded and taxed

A development’s result can turn on structure, GST and finance long before the first slab is poured. We work through the numbers with you from site acquisition to final settlement.

Revenue or capital: your conduct decides

Profit from a development carried out as a business or a profit-making venture is generally ordinary income, with no CGT discount, even if you once planned to hold. Intention at purchase, finance, council approvals and how you market the project all count. We document intentions early.

GST margin scheme: agree it in writing

The margin scheme can reduce GST on new residential sales, but eligibility depends on how the land was bought, and the written agreement must be in place on or before settlement. Since 2018, buyers of new residential premises generally withhold GST at settlement and pay it to the ATO.

Foreign buyers and owners

Foreign purchaser duty and land tax surcharges, FIRB approvals and new dwelling exemption certificates for selling to foreign buyers. In some states, a discretionary trust is treated as foreign unless its deed excludes foreign beneficiaries.

Funding stack

Loan-to-cost and loan-to-value limits, pre-sale covenants, capitalised interest, private credit pricing and how much equity you need. We model the funding stack for delays, cost overruns and slower sales. Credit is arranged by lenders and brokers, not by Everglow.

One project, one entity

A special purpose vehicle for each project, unit trust or company, joint venture agreements, related-party loans and Division 7A. The right structure limits risk between projects. We help you choose and set it up with your lawyer.

After the project

Retaining stock versus selling, the tax cost of holding completed dwellings, super contributions, and moving wealth outside the development business. We plan your personal wealth alongside the pipeline.

Federal tax: ATO

Income tax, GST and the margin scheme, GST withholding at settlement and foreign resident capital gains withholding.

State taxes

Stamp duty, land tax and foreign surcharges, each with its own rules on trusts, related parties and timing. Moving land between entities to satisfy a lender can trigger duty.

FIRB and building regulators

Foreign investment approvals and conditions, and building, developer and defects obligations that vary by state.

Questions

Questions developers ask us

When must the GST margin scheme be agreed?

In writing, on or before settlement. Eligibility also depends on how the land was acquired, so check at purchase, not at sale.

Do buyers withhold GST from new home sales?

Generally yes. Since 1 July 2018, purchasers of new residential premises usually pay part of the price directly to the ATO at settlement.

Is my development profit taxed as income or capital?

If you develop as a business or a profit-making venture, the profit is generally ordinary income and the CGT discount does not apply.

Can a trust be treated as a foreign person for land tax?

Yes. In some states, a discretionary trust is treated as foreign unless the deed excludes foreign beneficiaries, which can trigger surcharges.

Should each project have its own entity?

Usually. A special purpose vehicle per project limits risk between projects and keeps finance, GST and profit tidy.
